Confidentiality Agreement

The undersigned:

Baerz & Co B.V., Gustav Mahlerplein 28, 1082 MA Amsterdam

hereinafter to be referred to as: Baerz & Co

and,

The person signing up for the off-market notification service of Baerz & Co.

hereinafter referred to as website visitor

agree as follows:

Article 1.
The website visitor is provided, at his request, by Baerz & Co with confidential information (hereinafter: the Information), regarding: the housing offer within silent sale. Website visitor agrees to this. This information, which includes object(s) offered through a silent auction, is intended to enable the website visitor to form an image of a property offered for silent auction.

Article 2.
The website visitor shall treat all the aforementioned information provided or to be provided to him by Baerz & Co or its designated persons as confidential information which he shall therefore keep strictly secret from third parties.

Article 3.
The website visitor undertakes not to apply the Information in any way, either in modified or unmodified form, for any purpose other than that described above or to exploit it, without Baerz & Co's prior written consent. If the use of the Information by website user results in intellectual property rights or similar claims, website user shall transfer these rights and/or claims to Baerz & Co free of charge.

Article 4.
The confidentiality of the Information made available to website user is for an indefinite period of time.

Article 5.
If website user does not or not fully comply with the obligations in this Agreement, he shall by this mere fact owe Baerz & Co for each event and for each day that the breach continues, an immediately due and payable penalty not subject to judicial moderation in the amount of € 500, -, without prejudice to Baerz & Co's right to full damages.

Article 6.
Baerz & Co is entitled at any time to decide not to provide further Information and to demand all information already provided. Subject to the foregoing, this Agreement has been entered into for an indefinite period of time.

Article 7.
This Agreement is governed by Dutch law. Disputes concerning the interpretation and execution of this Agreement shall be submitted exclusively to the competent courts in Amsterdam.
